Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Cernere platform operated by Cernere Inc. ("Cernere", "we", "us"). By creating an account or using the platform, you agree to be bound by these Terms.

2. Platform Description

Cernere connects frontier AI laboratories with board-certified physicians to evaluate and improve clinical reasoning in AI models. The platform facilitates structured review of AI-generated medical content.

3. Expert Accounts

To participate as a medical expert on Cernere, you must:

• Hold a valid medical license in your jurisdiction
• Provide accurate specialty and credential information
• Complete the onboarding tutorial before accessing cases
• Accept the Non-Disclosure Agreement ("NDA") during onboarding

4. Non-Disclosure Agreement

By accepting the NDA during onboarding, you acknowledge and agree that:

• All case data, AI model outputs, and evaluation materials you access through the platform are strictly confidential
• You will not disclose, reproduce, distribute, or discuss any platform content with any third party
• You will not use platform data for any purpose outside of your work on Cernere, including personal research, publications, or training other models
• Confidentiality obligations survive termination of your account indefinitely

Violation of the NDA may result in immediate account termination and legal action.

5. Intellectual Property & Work Product

All work product generated through the platform, including but not limited to reviews, scores, recordings, transcriptions, written responses, and any other content you submit, becomes the exclusive property of Cernere upon submission.

You irrevocably assign to Cernere all right, title, and interest (including all intellectual property rights) in any work product created through or submitted to the platform. This assignment is worldwide, perpetual, and royalty-free.

Cernere may use, license, sublicense, or transfer this work product to its clients and partners without restriction.

6. Acceptable Use

You agree not to:

• Share your account credentials or allow others to access your account
• Use automated tools, scrapers, or bots to interact with the platform
• Attempt to extract, download, or copy case data or model outputs in bulk
• Reverse-engineer, decompile, or attempt to derive source code from the platform
• Submit fabricated reviews not based on genuine clinical judgment

7. Compensation

Expert compensation rates are communicated during recruitment and may vary by specialty, task complexity, and project scope. Payment terms and schedules are agreed upon separately. Cernere reserves the right to withhold payment for submissions that do not meet quality standards or violate these Terms.

8. Termination

Either party may terminate the relationship at any time. Cernere may suspend or terminate your account immediately if you breach these Terms or the NDA. Upon termination, you must cease all use of the platform and destroy any confidential materials in your possession. Sections 4 (NDA), 5 (IP), and 10 (Limitation of Liability) survive termination.

9. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, express or implied. Cernere does not warrant that the platform will be uninterrupted, error-free, or secure at all times.

10. Limitation of Liability

To the maximum extent permitted by law, Cernere's total liability arising from or related to these Terms shall not exceed the amounts paid to you by Cernere in the twelve months preceding the claim. Cernere is not liable for indirect, incidental, special, consequential, or punitive damages.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notification. Continued use of the platform after changes take effect constitutes acceptance.
